Chorus Aviation Inc. ('Chorus') (TSX: CHR) announced today that it has completed its previously announced bought deal public offering of 11,628,000 common shares of Chorus, which, for greater certainty, means for Canadian investors, Class B Voting Shares of Chorus, and for non-Canadian investors, Class A Variable Voting Shares of Chorus (collectively, the 'Shares') at $8.60 per Share for gross proceeds $100,000,800. RBC Capital Markets and CIBC Capital Markets acted as joint bookrunners for the offering with a syndicate that included Scotia Capital Inc., National Bank Financial Inc., TD Securities Inc., Cormark Securities Inc., Canaccord Genuity Corp. and Paradigm Capital Inc.
The underwriters have the option to purchase up to an additional 1,744,200 Shares at $8.60 per Share to cover over-allotments, if any, and for market stabilization purposes, during the 30 days following the closing of the offering (the 'Over-Allotment Option'). The exercise of the Over-Allotment Option may result in additional gross proceeds of up to $15,000,120.
The net proceeds of the offering will be used to fund the growth of Chorus Aviation Capital, Chorus' aircraft leasing business, including the acquisition of aircraft intended for or currently on lease to third parties, as well as for working capital requirements and other general corporate purposes.
